ACTION REQUESTED:
1) Authorize the County Manager to i) negotiate and execute an agreement substantially consistent with the agenda item, ii) exercise any renewal or extension term options set forth in the Agreement, and iii) terminate the Agreement if deemed in the best interest of the County, each in the County Manager’s discretion; 2) authorize the County Manager to execute an Intergovernmental Agreement with the Town of Wingate for administering Union County Food Innovation Center contracts; 3) adopt Capital Project Ordinances (CPOs) 348B, 284D, 235A, 344D, and Budget Amendment (BA) 15; and 4) adopt Resolution Providing Notice of Construction of the UC Food Innovation Center.

BACKGROUND:
Deputy County Manager Patrick Niland will provide a project update summarizing the status of the project, partner commitments and requesting the approval of a Guaranteed Maximum Price contract amendment, GMPA#1.
The Union County Food Innovation Center is, as a concept, a Food Systems Strategic Initiative. In an effort to support Union County agricultural producers with a focus on creating a sustainable and all encompassing "Food System," the project is intended to accomplish the following:
Generate markets for crops and protein-based products harvested within Union County
Provide career opportunities in an area of the County that has fewer local prospects
Enable educational partnerships and internships with Wingate University, South Piedmont Community College and John & Wales University
Promote healthier eating by the residents of Union County
Support organizations, such as Meals on Wheels, The Food Hub, and others that assist the County's at-risk population
The Food Innovation Center’s primary asset is the Kitchen which will be a multi-purpose facility to serve a dual mission. First, to support the farm community with raw product storage, packaging and/or preparation for wholesale. Secondly, to enable the public and small businesses who need value-added processing, cooking and final packaging which directly serves the consumer market. The proposed facility would house kitchen spaces, as well as freezer, refrigeration, and dry storage space to support raw food preparation and general food processing.
One of our project partners, the Town of Wingate, has agreed to fund a portion of the work to include road construction and utility construction. Approval of an Intergovernmental Agreement with the Town of Wingate is included as part of this request. The total funding to be reimbursed by the Town of Wingate will equal $1,810,959.00 and have been included in CPO 344D.
Edifice, LLC has completed bidding for all trade packages for the project. The bids for each of the trade packages are being totaled together with CM Fee, general conditions, insurance and bonds, permit allowance, development fee and construction contingency to arrive at the total cost for the Construction Manager at Risk GMP contract.
The total cost of construction for Edifice, LLC is the sum of the costs of Preconstruction Services contract and the GMP amendment included in this request. Below is a summary of the construction costs associated with the Construction Manager at Risk contracts:

Total CM Construction Costs $16,207,862.00
Staff recommends approval of the GMP contract amendment, GMPA#1 with Edifice, LLC. in the amount of $16,120,347.00
FINANCIAL IMPACT:
The total cost of the Guaranteed Maximum Price Amendment, GMPA#1, included in this request is $16,120,347.00. Sufficient funds are available in Capital Account 40080187, EDC-BARN Project, upon approval of CPOs 348B, 284D, 235A, 344D, and BA15.
